This page documents updates to Saidot's Terms of Service and other legal policies in the Saidot Legal Center. Check this page to see an overview of what has changed and when. Customer administrators are notified by email of significant changes before they take effect.

12 June 2026. Affected: Master Terms of Services, Data Processing Addendum, EU Data Act Addendum, Saidot Privacy Policy, Saidot Sub-Processors, and Saidot Cookie Policy.

Legal Center was launched as a home for all Saidot terms and policies. Alongside the establishment of the Legal Center, we have made updates to the Master Terms of Service, brought the Data Processing Addendum into a consolidated form, and publicised the EU Data Act Addendum. These changes reflect the evolution of Saidot’s Cloud Services, including API and MCP access, expanded customisation, and new inventories. The Privacy Policy, Cookie Policy, and Sub-Processor list have moved into the new Legal Center structure without substantive changes.

Master Terms of Service

  • Scope of use: Cloud Services use limited to Customer's internal use. Existing prohibitions on technical tampering, automated scraping, and unauthorised access have been consolidated and restated for clarity, with additional prohibitions introduced to address API usage. Newly defined terms across the document reflect the broader platform.

  • Warranties: Warranty coverage extended to Support and Professional Services. Saidot may correct, replace, or re-perform non-conforming Services before termination and refund become available remedies. New disclaimer on compatibility and interoperability with third-party tools.

  • AI output disclaimer: New clause clarifies that AI-generated outputs are provided for informational and decision-support purposes only. Customers remain responsible for independently verifying outputs before relying on them.

  • Higher recovery limits and protection for serious claims: Liability cap doubled to 12 months of fees, with IP infringement, indemnification obligations, payment obligations, gross negligence, and wilful misconduct carved out. The cap applies mutually to both parties.

  • IP infringement protection: Saidot indemnifies customers against third-party IP infringement claims arising from use of the Services, with standard carve-outs for third-party services, customer breach, and customer-supplied material.

  • Customer IP ownership: Previous derivative works clause removed. Customers retain full ownership of customisations built on the platform (e.g. custom frameworks) and of outputs generated through their use of the Cloud Services, excluding Saidot's embedded IP. The restructured feedback clause permits Saidot to use ideas and suggestions provided by customers.

  • Confidentiality strengthened: Explicit coverage of Affiliates, post-termination obligation to destroy Confidential Information, five-year survival period, and the right to seek injunctive relief in the event of breach.

  • Additional Services (new section): Covers free, trial, and demo access. Demo access is for evaluation only and not intended for production data. Additional Services are provided on an "as is" basis without warranties.

  • Termination, data export, and refunds: Customer content can be exported via API at any time during the subscription. After termination, Saidot retains customer content for 30 days, after which all data is deleted. Prepaid unused fees are refunded if the contract is terminated due to Saidot's material breach.

  • General terms modernised: New miscellaneous clauses (Entire Agreement, Order of Precedence, Variations, Relationship of the Parties, No Third-Party Rights, Contact Information). Disclosure clause strengthened in customers' favour. Waivers must be provided in writing.

Data Processing Addendum (DPA)

Brought into the Legal Center as its own dedicated page. The DPA consolidates the technical and organisational measures and the description of processing. No substantive changes to the underlying obligations.

EU Data Act Addendum (new)

New addendum has been publicised for customers subject to the EU Data Act. Sits alongside the Master Terms of Service and Data Processing Addendum, and applies to EU customers only.
